General Terms & Conditions
§1 SCOPE OF APPLICATION AND DEFINITIONS
(1) These General Terms & Conditions (GTC) shall apply to all orders placed by Consumers via our online shop at https://uk.holy.com (hereinafter referred to as the "Customer" or "you"). The version valid at the time the contract is concluded shall be decisive.
(2) A “Consumer” is any natural person who enters into a legal transaction for purposes that are predominantly neither attributable to their commercial nor their independent professional activity.
§2 CONTRACTING PARTY AND CONTACT DETAILS
The contracting party is HOLY Softdrinks Ltd, Suite 1, 7th Floor, 50 Broadway, London, United Kingdom, SW1H 0DB and Email: hello@holy.uk. Further information can be found in the imprint of our online shop.
§3 FORMATION OF THE CONTRACT, ORDERING PROCESS, AND STORAGE OF THE CONTRACT TEXT
(1) The presentation of products in the online shop does not constitute a legally binding offer, but rather an invitation to treat (a request to place an order).
(2) By clicking the "Order now" button, you submit a binding offer to purchase the goods contained in your shopping basket. We will acknowledge receipt of your order with an automatic confirmation.
(3) The contract is formed as soon as we accept your order by sending an Order Confirmation via email, at the latest upon dispatch of the goods. You will receive the Order Confirmation immediately after submitting your order."
(4) During the ordering process, you can change or remove products from your shopping basket at any time; before submitting the order, your input will be displayed and can be corrected. The ordering process can be cancelled by closing the browser window.
(5) Payment is due at the time of placing the order. The available payment methods will be displayed to you during the ordering process and must be used to complete your order. Where a deferred payment option (e.g. 'Buy Now, Pay Later') is offered, the terms of the relevant third-party payment provider shall apply.
(6) We will store the text of the contract and send you the order details, along with these GTC and the Cancellation Instructions, via email.
§4 PROTECTION OF MINORS
(1) Our caffeinated Energy Products are only sold to persons aged 16 years or older. By placing an order, you confirm that you have reached this minimum age.
(2) We reserve the right to carry out an age verification (e.g., ID check or through the shipping service provider) and may refuse or cancel orders if age cannot be verified.
(3) Other non-caffeinated products are not affected by this provision.
§5 PRICES, SHIPPING COSTS, AND PAYMENT METHODS
(1) All prices are final prices in Pounds (GBP - £) and include the statutory Value Added Tax (VAT).
(2) In addition to the stated prices, shipping costs may apply; these will be itemised during the ordering process. Delivery may be free of shipping costs above a certain order value.
(3) Customary cashless payment methods (e.g., credit card, online payment services) are available to you as payment options. The available payment methods will be displayed to you during the ordering process.
§6 DELIVERY AND RETENTION OF TITLE
(1) Delivery within the United Kingdom takes approximately 3-6 working days from the Order Confirmation, or in the case of advance payment / direct payment, from the payment of the purchase price and shipping costs. Delivery times to other countries depend on the destination country and will be displayed at the checkout. For deliveries outside the UK, the Customer shall bear any applicable customs duties and taxes.
(2) If delivery of the ordered goods is not possible, for example, because the corresponding goods are not in stock, we will refrain from issuing an Order Confirmation. In this case, no contract will be formed. We will inform you immediately and refund any consideration already received.
§7 RIGHT OF CANCELLATION AND RETURNS
(1) The statutory Right of Cancellation applies. The Cancellation Instructions, including the sample cancellation form, are appended in the Cancellation Notice.
(2) In the event of cancellation, you shall bear the direct costs of returning the goods.
(3) Please return the goods, if possible, in their original packaging with all accessories. Failure to comply with this request does not limit your Right of Cancellation, but it facilitates our processing of the return.
§8 REFUNDS
(1) Refunds shall be made using the same means of payment that was used during the ordering process. Refunds will be processed within 14 days of us receiving the returned goods or your proof of return, whichever is earlier.
(2) If a Voucher was used, the refund shall be credited proportionately back to that voucher. A cash payment is excluded.
§9 VOUCHERS AND DISCOUNT CODES
(1) HOLY offers Gift Vouchers, Promotional Codes, Value Vouchers, and Product Vouchers. A cash payout for the vouchers is excluded. Gift Vouchers and Promotional Codes are transferable; Value Vouchers and Product Vouchers, however, are not. Vouchers must be redeemed in the designated field at the checkout and cannot be offset after the order has been placed.
(2) Gift Vouchers.
(2.1) Gift Vouchers can be purchased for fixed amounts in the online shop at https://uk.holy.com. They are sent free of charge via email after payment (cf. § 5).
(2.2) The use of other vouchers, discount codes, or coupons to purchase Gift Vouchers is excluded.
(2.3) The issuing currency of the voucher must be identical to the redemption currency. The voucher amount can be used across multiple orders until fully depleted. Any remaining balance will remain on the voucher and can be redeemed again. The credit balance is not subject to interest. If the voucher value is insufficient, the difference can be settled with another offered payment method. Multiple vouchers can be combined in a single order.
(2.4) HOLY can discharge its obligations by making payment to the respective holder or user of the voucher, unless HOLY has positive knowledge or is grossly negligent in its ignorance of the user's lack of entitlement.
(2.5) Gift Vouchers are valid for three years from the date of issue, commencing at the end of the respective calendar year in which the voucher was purchased. They can no longer be redeemed after this period.
(2.6) If an order paid for entirely or partially with a voucher is cancelled or returned, the corresponding amount will be refunded by crediting the same voucher.
(2.7) The Right of Cancellation pursuant to § 7 applies to the purchase of a Gift Voucher.
(3) Promotional Codes.
(3.1) Promotional Codes are vouchers that are issued free of charge by HOLY as part of promotional campaigns and cannot be purchased. They are only redeemable during the specified period, under the respective published conditions, and only once per order.
(3.2) Certain products may be excluded from the voucher promotion.
(3.3.) Only the conditions published by HOLY as part of the respective promotion shall be decisive (in particular, the period of validity, participating products, minimum order value). Information provided by third parties - especially by influencers, partners, or external platforms - is non-binding and has no legal effect.
(3.4) If a Promotional Code is used in an order that is subsequently partially cancelled or returned, and this results in the fulfilment conditions for the voucher (e.g., minimum purchase value) no longer being met, HOLY reserves the right to subsequently charge the original price for the remaining ordered goods.
(4) Value Vouchers. Value Vouchers may be issued out of goodwill (e.g., in the case of returns). Remaining balances are retained and can be redeemed in subsequent orders.
(5) Product Vouchers. Product Vouchers entitle the holder to receive specific items free of charge. They can only be redeemed subject to the respectively stated conditions.
(6) The duplication, manipulation, or commercial resale of vouchers is prohibited, unless HOLY has given written consent. In the event of suspected fraud, deception, or other misuse, HOLY reserves the right to block vouchers. HOLY assumes no liability for loss, theft, or unauthorised use.
§10 GIFT PROMOTIONS
(1) If orders are rewarded with a free item (e.g., shaker, merchandise), the entitlement to the gift depends on the specified minimum purchase value.
(2) Gift promotions may be time-limited or subject to the availability of the products. There is no entitlement to specific gift items. The respectively stated conditions of the gift promotion apply.
(3) If a return or cancellation results in the net order value falling below the minimum purchase threshold applicable to the gift, the gift must be returned to HOLY before any refund is processed. Where the gift is not returned, HOLY reserves the right to deduct the retail value of the unreturned gift from any refund due to you.
§11 CUSTOMER ACCOUNT
(1) Customers may set up an account. Complete and accurate information must be provided; changes must be updated immediately.
(2) Only one customer account may exist per person. We may delete multiple accounts.
(3) The customer account can be terminated by you or by us with immediate effect at any time.
(4) The Terms of Participation for the Rewards Programme, available in the shop, shall apply in addition to the use of the Rewards Programme.
§12 WARRANTY AND TRANSIT DAMAGE
(1) In particular, under the Consumer Rights Act 2015, you have a 30-day right to reject goods that are faulty, not as described, or unfit for purpose and receive a full refund. After this period and within six (6) months of delivery, you are entitled to a repair or replacement in the first instance.
(2) Obvious transit damage should be reported to the delivery agent immediately upon receipt and reported to us. Failure to do so does not affect your statutory claims.
§13 LIABILITY
(1) Nothing in these GTC shall limit or exclude HOLY's liability for:
- death or personal injury caused by HOLY's negligence;
- fraud or fraudulent misrepresentation;
- defective products under the Consumer Protection Act 1987; or
- Any other matter for which liability cannot be limited or excluded under applicable UK law, including under the Consumer Rights Act 2015.
(2) Subject to §13(1), HOLY shall not be liable for any indirect or consequential losses arising out of or in connection with a contract concluded under these GTC, including loss of profit, loss of data, or loss of business opportunity.
(3) Subject to §13(1), HOLY's total liability for direct losses arising under or in connection with a contract concluded under these GTC shall not exceed the purchase price paid by you for the goods in question.
(4) The limitations of liability set out in this §13 apply equally for the benefit of HOLY's officers, employees, and agents.
§14 COPYRIGHTS
(1) We hold the copyrights to all images, films, and texts published in our online shop. The use of the images, films, and texts is not permitted without our express consent. We will take legal action against infringements.
§15 DISPUTE RESOLUTION AND JURISDICTION
(1) Before initiating legal action, we will endeavour to reach an amicable settlement; however, HOLY is neither willing nor obliged to participate in a formal dispute resolution procedure before a consumer arbitration board. As we are obliged to inform you of available ADR options, please find further information on dispute resolution in the UK at RetailADR: www.retailadr.org.uk.
(2) Insofar as you had your domicile or habitual residence in the United Kingdom at the time the contract was concluded and have relocated it abroad after the conclusion of the contract, or your domicile or habitual residence is unknown at the time the action is filed, the exclusive place of jurisdiction for all disputes arising from or in connection with this contract shall be the registered office of HOLY Softdrinks Ltd in London.
§16 DATA PROTECTION
(1) Our Privacy Policy applies, available at https://uk.holy.com/pages/data-protection.
§17 FINAL PROVISIONS
(1) The law of England and Wales shall apply to these GTC and to any contract concluded under them, to the exclusion of the UN Convention on Contracts for the International Sale of Goods (CISG). Mandatory consumer protection rights applicable in your country of residence shall remain unaffected.
(2) Should individual provisions of these GTC be or become invalid or unenforceable, the remaining provisions shall continue in full force and effect. The same applies to any regulatory gaps. Any changes and additions to these GTC, including this provision, shall require written form (including email) to be effective.
PREAMBLE
The Squad Rewards Programme ("Rewards Programme") of HOLY Softdrinks Ltd, Suite 1, 7th Floor, 50 Broadway, London, SW1H 0DB ("HOLY") rewards its loyal Squad Members. The Rewards Programme allows participants ("Members") to earn credits ("Coins") through purchases and other activities, and to redeem these Coins for rewards ("Rewards"). The total number of Coins ever earned determines a Member's level within the Programme on a permanent basis.
These participation terms ("Collection Terms" or "Squad Rewards T&Cs") govern the use of the Rewards Programme. The Squad Rewards T&Cs supplement HOLY's General Terms and Conditions ("GTC").
§1 PARTICIPATION
- Participation is open exclusively to persons holding a valid HOLY customer account. A customer account can be created free of charge at https://uk.holy.com/account/login. Upon registration, you will automatically be assigned to a level (see §3 for the structure and progress based on earned points).
- Participation is open to private individuals aged 16 and over who are resident in the United Kingdom.
- Each person may hold only one customer account. Multiple registrations are not permitted.
§2 EARNING COINS
- Squad Coins can be earned in various ways, including:
- Orders placed in the HOLY online shop (credited upon completion of purchase),
- Social media engagement, and
- Promotions, special campaigns, or other activities communicated to Members by HOLY.
- The specific number of coins awarded and the applicable terms and conditions will be published by HOLY in a member’s account area or as part of the respective promotion.
- Squad Coins are used both to determine a member’s level in accordance with §4 and to redeem rewards in accordance with §5.
- Coins are personal, non-transferable, and non-transferable.
§3 LEVELS & BENEFITS
- The Programme comprises four levels ("Squad Levels"), which are determined based on the total number of coins ever credited to the member (“Level Coins”):
- Raptor Egg: from 1 Coin
- Raptor Kid: from 2,000 Coins
- Teenage Raptor: from 10,000 Coins
- OG Raptor: from 30,000 Coins
- Once attained, a level is retained permanently and will not be reset for as long as the customer account exists.
- Upon reaching a higher level, Members gain access to the benefits and Rewards associated with that level. Members at higher levels always retain access to all benefits and Rewards of lower levels.
- HOLY may adjust the benefits at any time. There is no entitlement to specific benefits or their continued availability. An overview of the current benefits and rewards can be found in a member’s customer portal.
- Reaching a level will be displayed to Members in their customer portal.
§4 REDEEMING COINS
- Coins can be redeemed for the rewards listed and clearly marked in the customer portal. Redemption by phone, mail, or email is not permitted.
- Upon redemption, the corresponding coins are deducted from your available balance. Level coins and the level you have reached remain unaffected by this.
- The terms and conditions published in the customer portal apply to Rewards (e.g., minimum order value, product restrictions, validity period, availability by level).
- Coins or rewards cannot be redeemed for cash. Remaining balances or partial redemptions are not permitted.
- Rewards are available for redemption subject to availability. If a reward is unavailable, HOLY may, at its discretion, either grant a reward of equal value or credit the coins to the user’s account.
§5 VALIDITY & EXPIRY
- Coins are valid for redemption for twelve (12) months from the date they are credited and automatically expire if not redeemed within this period. HOLY will notify members via email in a timely manner prior to expiration. Coins will also be reduced in the event of permanent account deletion, exclusion from the Rewards Program pursuant to §7 and §9, returns, rescission, or termination of the Rewards Program.
- Level Coins do not expire. A reduction in the coin balance occurs exclusively in the event of permanent account deletion, exclusion from the program pursuant to §7 and §9(1), returns, revocation, or termination of the Rewards Program.
§6 MISUSE
- Manipulation, for example through multiple accounts, fake activity, automated processes, or technical interference, is not permitted.
- Where there is reasonable suspicion of misuse, HOLY may retrospectively cancel or reset Coins and level status, revoke or reclaim Rewards, and temporarily or permanently exclude Members from the Programme and suspend the customer account.
- HOLY will notify Members before taking action under subsection (2) and give them the opportunity to respond. An opportunity to respond in advance may exceptionally be dispensed with where there are specific grounds indicating that HOLY would suffer material harm without immediate action. In that case, HOLY will provide the opportunity to respond without undue delay thereafter.
§7 CHANGES & TERMINATION
- HOLY reserves the right to amend these Collection Terms. Any amendment will be communicated to Members in writing six (6) weeks before it takes effect, and Members will be asked to consent to the amendment. If a Member does not consent within this period, the existing terms will continue to apply. HOLY shall in that case have the right to exclude the Member from further participation in the Rewards Programme.
- HOLY may terminate the Rewards Programme unilaterally. HOLY will notify Members of any termination six (6) weeks before it takes effect.
- Where a customer account has been inactive for more than thirty-six (36) months, HOLY is entitled to end the Member's participation in the Programme. Members will be notified in advance by email and given a reactivation period of at least thirty (30) days.
§8 DATA PROTECTION
- Personal data collected in connection with the Rewards Programme (in particular name, email address, and transaction and activity data) is processed for the purpose of operating and administering the Programme in accordance with the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018.

§9 FINAL PROVISIONS
- These terms are governed by the laws of England and Wales. Mandatory consumer protection provisions applicable to consumers resident in the United Kingdom apply regardless.
- For any dispute arising from or in connection with these terms, the courts of England and Wales shall have jurisdiction, without prejudice to a consumer's right to bring proceedings in the courts of their place of domicile.
- If any provision (or part thereof) of these terms is or becomes wholly or partially invalid, or if these terms contain a gap, the validity of the remaining provisions shall not be affected.
- For unresolved disputes, HOLY recommends the following alternative dispute resolution body: RetailADR (www.retailadr.org.uk). HOLY is not obliged to participate in ADR proceedings but will consider doing so on a case-by-case basis.

PREAMBLE
This competition is not affiliated with Instagram, Facebook, or TikTok and is in no way sponsored, supported, or organised by these platforms. All questions, comments, or complaints regarding the competition should be addressed directly to the UK Promoter at hello@holy.uk.
By participating in the competition, participants confirm that they have read, understood, and accepted the following terms and conditions.
§1 ELIGIBILITY
(1) If you have purchased £10 or more of the Promoter's products, including at least one Matcha campaign product, through the Promoter's UK website during the Entry Period, you have been automatically entered, free of charge, into both prize draws described below. Only one entry per customer is permitted. If you wish to opt out of either or both prize draws, you should send an email with your full name to hello@holy.uk. Otherwise, participants are deemed to have accepted and agreed to be bound by these terms and conditions upon entry.
(2) You will not be entitled to win any prize under either prize draw if:
(a) you purchased the Promoter's products through the Promoter's UK website but are not a UK resident; or
(b) you are not aged 18 years or over; or
(c) you are an employee of the Promoter, a member of their family, or their agent; or (d) you are a third party directly associated with the administration of either prize draw; or (e) you have cancelled or returned the qualifying order after entry.
§2 ENTRY PERIOD
(1) The opening date for entries is 11:00 BST on 12th of May, 2026. The closing date of both prize draws is 22:59 BST on 31st of May, 2026 (the "Entry Period").
(2) Entries received outside the Entry Period will not be accepted.
(3) The Promoter accepts no responsibility for entries not successfully completed due to a technical fault, technical malfunction, computer hardware or software failure, satellite, network or server failure of any kind.
§3 DRAW 1: JAPAN TRAVEL VOUCHER (GROUP-WIDE DRAW)
(1) Draw 1 is open to all qualifying entrants across all territories in which the Group Organiser operates, including Germany, France, Poland, Austria, Switzerland, and the United Kingdom. UK entrants are automatically entered into Draw 1 upon making a qualifying purchase during the Entry Period. For UK participants, Draw 1 is administered by the Group Organiser on behalf of the UK Promoter.
(2) One winner will be chosen by random draw performed by a computer process on 28th of June, 2026 (the "Draw Date").
(3) The winner of Draw 1 will be entitled to receive a travel voucher issued by TUI Deutschland GmbH to the value of €5,000, valid until 31st of December, 2029. The voucher is redeemable at tui.com and is subject to TUI's standard voucher terms and conditions, available at https://www.tui.com/tuigutschein.
(4) Any UK winner of Draw 1 will be notified by the Group Organiser by email or telephone (using details provided at entry) before 5th of July, 2026. To claim their prize, they must confirm their contact details and postal address. If any UK winner of Draw 1 does not respond to the Group Organiser within 14 days of being notified with the information required, then that winner's prize will be forfeited and the Group Organiser will be entitled to select another winner from any territory in which the Group Organiser operates, in accordance with the process described above.
(5) The TUI travel voucher will be sent to the winner by email or post within seven (7) days of the winner providing the required information to the Group Organiser.
§4 DRAW 2: NINTENDO SWITCH 2 CONSOLES (UK DRAW)
(1) Draw 2 is open exclusively to UK entrants who have made a qualifying purchase during the Entry Period through the Promoter's UK website. Draw 2 is administered by the UK Promoter and is entirely separate from any prize draw run by the Group Organiser in other territories.
(2) Three winners will be chosen by random draw performed by a computer process on 28th of June, 2026 (the "Draw Date").
(3) Each winner of Draw 2 will be entitled to receive one Nintendo Switch 2 console in a bespoke HOLY Matcha design.
(4) Winners of Draw 2 will be notified by the UK Promoter by email or telephone (using details provided at entry) before 5th of July, 2026. To claim their prize, they must confirm their postal address (if different to the delivery address provided upon entry). If any winner of Draw 2 does not respond to the UK Promoter within 14 days of being notified with the information required, then that winner's prize will be forfeited and the UK Promoter will be entitled to select another UK winner in accordance with the process described above.
(5) Nintendo Switch 2 consoles will be dispatched to the winner's confirmed UK delivery address within seven (7) days of the winner providing the required information to the UK Promoter. The UK Promoter will cover standard shipping costs. A maximum of two delivery attempts will be made; if both are unsuccessful, the prize may be collected from the UK Promoter within four (4) weeks of the final delivery attempt, after which the prize will be forfeited.
§5 GENERAL PRIZE CONDITIONS
(1) A participant may win a maximum of one prize across both draws. All prizes are non-exchangeable and non-transferable. No cash alternative or exchange for other items is available.
(2) The Promoter reserves the right to replace any prize with an alternative prize of equal or higher value if circumstances beyond the Promoter's control make it necessary to do so.
(3) The decision of the Promoter regarding any aspect of either prize draw is final and binding and no correspondence will be entered into about it.
(4) The Promoter must either publish or make available information that indicates that a valid award took place. To comply with this obligation the UK Promoter will send the surname and county of major UK winners and, if applicable, copies of their winning entries, to anyone who emails hello@holy.uk within one month after the end of the Entry Period. If you object to any or all of your surname, county and winning entry being published or made available, please contact the UK Promoter at hello@holy.uk. In such circumstances, the UK Promoter must still provide the information and winning entry to the Advertising Standards Authority on request.
(5) The Promoter reserves the right to refuse entry or refuse to award any prize to anyone in breach of these terms and conditions.
(6) The Promoter reserves the right to hold void, cancel, suspend, or amend either promotion where it becomes necessary to do so.
§6 DISCLAIMER
(1) Insofar as is permitted by law, the Promoter, its agents or distributors will not in any circumstances be responsible or liable to compensate the winner or accept any liability for any loss, damage, personal injury or death occurring as a result of taking up the prize except where it is caused by the negligence of the Promoter, its agents or distributors or that of their employees.
(2) The Promoter is not responsible for any defects in, or the terms, availability, or conditions of, third-party prizes, including but not limited to TUI travel vouchers, and winners should refer directly to TUI's terms and conditions for the use of such vouchers. Your statutory rights are not affected.
§7 DATA PRIVACY
(1) Personal data supplied during the course of this promotion will only be processed as set out in the UK Promoter's privacy policy at https://uk.holy.com/pages/data-protection. Please see clause 1.9 with regard to the announcement of winners.
§8 FINAL PROVISIONS
(1) These terms and conditions and this promotion are governed by English law. If any entrants to this promotion wish to take court proceedings, then they must do this within the courts in the United Kingdom.
(2) If any provision of these Terms & Conditions is or becomes wholly or partly invalid, or if the Terms & Conditions contains a gap, the validity of the remaining provisions shall not be affected.
